These Terms & Conditions ("Terms") govern the use of the website spleendigital.com and the purchase of services from Spleen Digital LLC, a Wyoming limited liability company with its address at 30 N Gould St Ste N, Sheridan, WY 82801, United States ("Spleen Digital", "we", "us"). By using the website or purchasing our services, you ("Client") agree to these Terms.
We provide digital marketing services to businesses, including paid advertising management, ad creative production, landing page and funnel development, and marketing audits. The specific scope, deliverables, timeline and price of each engagement are described in a written proposal or order ("Proposal"). If the Proposal and these Terms conflict, the Proposal prevails.
Our services are intended for businesses and professionals. By purchasing, you confirm that you act for business purposes and that you are authorized to bind the business you represent.
Prices are shown in US dollars (USD) on our Pricing page or in the Proposal, and exclude taxes where applicable. Payments are processed by third-party payment providers such as Stripe; we do not store full card details. One-time projects are paid in advance unless the Proposal states otherwise. Monthly services are billed in advance and renew automatically each month until cancelled.
Advertising spend is not included in our fees. It is paid by the Client directly to the advertising platforms using the Client's own payment method and ad accounts.
The Client provides accurate information, timely access to the necessary accounts and assets, and approval of materials. The Client is responsible for the legality of its products, services and claims, and for complying with the advertising policies of each platform. We may refuse or stop work that we reasonably consider unlawful, misleading or in breach of platform policies.
Advertising results depend on many factors outside our control, including platform algorithms, market conditions and the Client's offer. We commit to performing our services professionally and with reasonable care, but we do not guarantee specific results such as sales, leads, revenue or return on ad spend.
Cancellations and refunds are governed by our Refund Policy.
After full payment, the Client owns the final deliverables created specifically for it (for example ad creatives, copy and landing pages). We keep ownership of our pre-existing tools, templates, methods and know-how. Unless the Client objects in writing, we may mention the Client's name as a reference.
Each party keeps confidential the non-public information received from the other party and uses it only to perform the engagement.
We process personal data as described in our Privacy Policy. Where we process personal data on behalf of the Client, we do so only on the Client's instructions and the parties will sign a data processing agreement when required by law.
To the maximum extent permitted by law, our total liability for any claim related to the services is limited to the fees paid by the Client for the affected service in the three (3) months before the claim. We are not liable for indirect or consequential damages, lost profits, or the actions of advertising platforms, including account suspensions or ad rejections. Nothing in these Terms limits liability that cannot be limited by law.
Either party may terminate a monthly service at any time with effect from the end of the current billing period. Either party may terminate immediately if the other party seriously breaches these Terms and does not remedy the breach within 10 days of written notice.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The parties will first try to solve any dispute in good faith by email. If that fails, the state and federal courts located in Wyoming have jurisdiction, unless mandatory law provides otherwise.
We may update these Terms from time to time. The version published on this page at the time of purchase applies to that purchase.
